FS International’s corporate governance system is based on the traditional administrative type model, which is a key tool for achieving efficiency while providing an effective system for monitoring the Company’s activities.
The Board of Directors is appointed by the shareholder Ferrovie dello Stato Italiane and invested with full powers of ordinary and extraordinary administration of the company. It may perform all acts deemed appropriate to implement the activities making up the company object or that can be used by it, excluding those activities that the Law appoints exclusively to the Shareholders’ Meeting.

The Board of Statutory Auditors is responsible for monitoring compliance with the laws and Articles of Association, the respect of the principles of sound management, the adequacy of the Company’s organization (for issues under its jurisdiction) and of the administrative-accounting system, as well as the reliability of this system to present accurately the results from operations.

Auditing activities are assigned to an Independent Auditor, who has been appointed by the Shareholders’ Meeting following the proposal of the Board of Statutory Auditors. The auditing external firm in charge (appointed on December 11, 2019 and in office until the date of approval of the Financial Statements at December 31, 2022) is KPMG SpA.
